Serving as US rep for a foreign hosting company

Does anyone know how to structure an agreement between a foreign hosting company and a US representative?

I am in the process of working through details, and would like to be certain nothing is overlooked.

The key areas regard processing of payments for hosting service in the US while the subcontracting (support, servers, etc) is located overseas.

Good luck getting it enforced!

If there's later a problem, are you going to sue in the host's native country? That's going to cost!
